Profile

Loretta Salzano advises banks, mortgage lenders, real estate brokers, title agents and other settlement service providers on how to increase their business while remaining within the confines of the laws of all 50 states and federal law including, but not limited to, TILA, RESPA, ECOA and HMDA. Loretta advises her clients regarding fair lending, compensation, marketing, licensure, fees, disclosures, reporting, and other matters related to their products and services. She drafts and negotiates contracts, including service agreements, compensation agreements, loan purchase and sale agreements and warehouse financing agreements. Loretta also assists clients in responding to regulatory examinations and actions.

In 2008, Loretta founded ComplyShare, LLC to provide non-legal compliance and quality control services to financial institutions. Loretta was named a Top Compliance Lawyer by Mortgage Compliance Magazine, is a Fellow of the American College of Consumer Financial Services Attorneys and serves as Legal Counsel to the Mortgage Bankers Association of Georgia and to Rainbow Village, a transitional housing program. She is active in many industry, professional and civic associations and frequently speaks on mortgage issues. Loretta’s firm serves as the Georgia editor to Houselaw. Loretta received her B.A. with High Distinction from the University of Michigan and her J.D. from the University of Michigan Law School.

Focus of Practice

Compliance:

  • Advise banks, lenders, loan servicers, and other financial institutions on multi-state and federal lending and loan servicing laws, including, but not limited to, the Dodd-Frank Act, RESPA, TILA, ECOA, HMDA, FCRA, SAFE Act, “anti-predatory lending,” licensing, usury, loan documentation, disclosures, loan programs and compensation.
  • Advise title companies, title agents, closing attorneys, real estate brokers and other settlement service providers on how to conduct their business in compliance with federal law and the laws of all states.
  • Counsel financial institutions on best practices and assess risks related to their operations, products and services.
  • Review compensation plans and agreements.
  • Draft disclosures and notices required by federal law and the laws of all states.
  • Review marketing initiatives and advertisements.
  • Prepare licensing applications and reports required by states and agencies.
  • Audit loan files for compliance with applicable laws and agency guidelines.
  • Respond to examinations by state and federal regulators.

General Corporate/Business:

  • Draft and negotiate contracts, including, but not limited to, warehouse financing agreements, loan purchase and sale agreements, correspondent agreements, broker agreements, marketing agreements, servicing agreements, processing agreements, and other service agreements and leases.
  • Prepare opinion letters in connection with loan sale agreements and warehouse financing.
  • Prepare loan documents.
  • Prepare compensation agreements.

Regulatory Examinations and Enforcement Actions:

  • Represent lenders in federal and state examinations.
  • Defend financial institutions in administrative actions and enforcement proceedings.
